End-User License Agreement (EULA)

This End-User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Recyclable Materials Marketing (Remm Group), a corporation incorporated under the laws of Canada, with its principal place of business at 217 Terrace Hill Street, Unit B10 Brantford, Ontario N3R 1G8 (“Company”).

By accessing or using the internal web application ReMM Broker (“Application”), you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not use the Application.

1. License Grant

   The Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Application solely for internal business purposes authorized by the Company.

2. Restrictions

   You agree that you will not:

   1. Copy, modify, distribute, or reverse-engineer the Application;
   2. Use the Application for any commercial purpose outside of Company operations;
   3. Share access credentials or allow unauthorized users to access the Application;
   4. Upload or transmit any harmful, offensive, or illegal content via the Application.
3. User Obligations

   You agree to:

   1. Use the Application in accordance with all applicable laws and Company policies;
   2. Maintain the confidentiality of your login credentials;
   3. Promptly report any security issues, bugs, or misuse to the Company IT team.
4. Data and Privacy

   All data entered into the Application is the property of the Company. Users must handle all information in accordance with applicable privacy laws and internal data protection policies.

5. Termination

   The Company may terminate or suspend your access to the Application at any time, with or without notice, for any reason, including violation of this Agreement.

   Upon termination, you must cease all use of the Application and, if applicable, return or destroy any materials provided in connection with your use.

6. No Warranty

   The Application is provided “as is” without warranties of any kind, either express or implied, including but not limited to fitness for a particular purpose, reliability, or availability. The Company does not guarantee that the Application will be error-free or uninterrupted.

7. Limitation of Liability

   To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from or related to your use of the Application.

8. Governing Law

   This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

9. Changes to the Agreement

   The Company may update this Agreement from time to time. Continued use of the Application following any changes constitutes your acceptance of those changes.
